ZYNCORESolar Asset Assurance & Risk Intelligence

Legal and governance

Terms and Conditions

Effective 11 September 2026 | ZynCore (Pty) Ltd, Reg. No. 2025/264895/07

These Terms govern access to the ZynCore Intelligence System and related ZynCore services. By creating an account, accepting an order, starting a trial or using a service, you agree to these Terms. If you act for an organisation, you confirm that you have authority to bind it.

1. Services and definitions

ZIS means the ZynCore Intelligence System, ZynCore's controlled environment for solar asset records, guided self-assessment, evidence management, telemetry context, findings, remediation, portfolio analysis and assurance history.

ZAS means the proprietary ZynCore Assurance Score, a 0 to 100 risk indicator generated from available evidence and applicable ZynCore methodology. Assured refers to an outcome based on validated remote, operational or documentary evidence. Verified refers to an outcome that has passed the physical evidence, quality assurance and review pathway required by its scope.

Services may also include inspections, Verified Handover, Continuous Assurance, reports, integrations, enterprise access, API services and separately scoped professional work. The applicable order, proposal or statement of work forms part of the agreement and prevails for service-specific scope, pricing and deliverables.

2. Accounts and authorised users

3. Trials, subscriptions and payment

Trials, subscriptions, enterprise licences, API access, assessments and professional services are supplied on the commercial terms shown at checkout or in an accepted order. Fees are charged in South African Rand unless agreed otherwise. Applicable VAT will be identified where required. Recurring subscriptions renew for the stated billing period unless cancelled before renewal. The Refund Policy forms part of these Terms.

4. Customer data and confidentiality

You retain ownership of data supplied by or for you, including asset, site, telemetry, inspection, maintenance, insurance and portfolio information. You grant ZynCore a limited right to host, validate, process and analyse that information to deliver, secure and support the contracted services. Any use for service analytics or improvement will use aggregated or de-identified information where reasonably possible.

You confirm that you have the authority and lawful basis to submit the information and to permit its use for the service. Each party must protect the other's confidential information and use it only for the agreement, except where disclosure is legally required. Personal information is handled under the Privacy Policy.

5. Acceptable use

You may not disrupt or circumvent the service, gain unauthorised access, introduce harmful material, scrape protected content, reverse engineer the platform, reproduce ZynCore methodology, resell access without written approval, use ZIS to develop a competing product, or submit information unlawfully. You remain responsible for the completeness and accuracy of information supplied.

6. Intellectual property and outputs

ZynCore owns ZIS, ZAS, the scoring methodology, models, workflows, software, templates, branding and related intellectual property. Your right is limited to using contracted services and outputs for your internal business, asset, insurance, financing, transaction or reporting purposes. Reports may be shared with legitimate stakeholders for those purposes, but may not be altered, presented misleadingly or used to reproduce the methodology.

7. Assurance outcomes and important limitations

A ZAS is a decision-support indicator, not a guarantee. It is not an electrical Certificate of Compliance, IEC certification, insurance policy, underwriting approval, warranty, engineering guarantee or assurance of future safety or performance.

Self-assessment information is supplied by the user and is not automatically verified. Uploading evidence or using the Technician Portal does not by itself create a Verified outcome. Physical condition and compliance cannot be established from telemetry alone. Professional engineering judgement or sign-off applies only where expressly included or required by the defined review pathway.

Customers remain responsible for safe operation, statutory compliance, maintenance, insurance and decisions concerning their assets. Serious or urgent findings must be addressed by appropriately qualified persons.

8. Telemetry and third-party services

Telemetry depth depends on compatible equipment, data quality, customer permissions and available interfaces. Inverter, meter, weather, payment, communications and other third-party services are controlled by their providers and may be delayed, changed or unavailable. ZynCore does not warrant uninterrupted third-party connectivity and may substitute providers where reasonably necessary.

9. Availability, warranties and liability

ZynCore will provide the services with reasonable skill and care, subject to planned maintenance, security requirements and dependencies outside its control. Except for rights that cannot lawfully be excluded, services are provided on an available basis and ZynCore does not warrant uninterrupted or error-free operation.

To the maximum extent permitted by law, neither party is liable for indirect, special or consequential loss. ZynCore's total aggregate liability arising from the services is limited to fees paid for the affected service during the 12 months before the event giving rise to the claim. Nothing excludes liability that cannot lawfully be limited, including applicable rights under the Consumer Protection Act.

10. Suspension, termination and data access

You may cancel a subscription under the Refund Policy or applicable order. ZynCore may suspend access for material breach, non-payment, security risk or unlawful use. Where reasonably possible, notice and an opportunity to remedy will be provided. Following termination, access ends and customer information is retained, exported or deleted in accordance with the agreement, the Privacy Policy and legal retention duties. Customers should export required records before access ends.

11. Changes, notices, disputes and governing law

Material changes to these Terms will be notified through ZIS or by email. Changes will not retrospectively reduce paid service rights. Notices may be delivered electronically to the latest contact details held for the account.

The parties should first attempt in good faith to resolve disputes through senior representatives. These Terms are governed by South African law and South African courts have jurisdiction, subject to any agreed dispute process and mandatory consumer rights.
